Software Terms of Service

Scope and acceptance

These terms describe the software services offered by Karrio Home Services LLP. The website introduces our products and enables enquiries; submitting an enquiry does not purchase software or create a subscription.

A software agreement is formed when an authorised customer accepts an order form, quotation or onboarding agreement that incorporates these terms. The accepting person must have authority to bind the business. Existing signed agreements continue to govern until changed in accordance with their terms. These terms do not retrospectively replace historical consumer-service agreements.

Your product and order

The accepted order identifies the product, deployment model, included features, users or locations, charges and taxes, term, renewal method, implementation work and support arrangements. Only expressly agreed features and services are included. Product illustrations and sample data show concepts; they are not a commitment to a particular released feature or delivery date.

A product may be hosted, installed or supplied under another expressly agreed model. Neither source-code access nor self-hosting rights are implied. Planned products are expressions of direction and are not available for purchase through an interest form.

Mandatory law takes precedence. For conflicts, agreed order-specific variations apply to the matters they expressly address; the DPA governs personal-data processing; applicable product additions govern their specialist subject; these general terms govern the remainder.

Access and acceptable use

During the agreed term, the customer may allow its authorised users to access the software for its permitted business operations within the order's limits. The customer manages user authority, accurate account details, device access and credential security, and tells Karrio promptly about suspected unauthorised access.

Do not use Karrio for unlawful activity, malware, fraud, unauthorised access, infringement or abusive interference with others. Do not resell access, bypass usage limits or copy/reverse engineer software except where expressly permitted by the agreement or applicable law. The customer is responsible for the legality and accuracy of the information it provides and the business decisions it makes.

Data, software and confidentiality

As between Karrio and the customer, the customer retains its rights in the data it supplies and creates. Karrio receives only the rights needed to provide the agreed service and perform applicable obligations. Karrio and its licensors retain their rights in the software, designs, documentation and underlying technology.

Each party must protect the other's confidential information and use it for the agreement, allowing access only where needed and subject to appropriate confidentiality duties. This does not prevent a legally required disclosure or apply to information lawfully public, independently developed or received without a duty of confidence.

Our Privacy Policy describes our own processing. The DPA applies to personal data processed on the customer's behalf when incorporated into the agreement. A customer authorises its instructions and establishes any required notices, consents or other authority for its records.

Charges, renewals and changes

Fees, billing frequency, payment method, taxes and due dates are those disclosed in the accepted order. Setup, migration, customisation and third-party charges must be identified separately where applicable. An enquiry or demonstration does not authorise a charge.

Automatic renewal applies only where disclosed and agreed. The order must identify the renewal term and any notice requirement. Changes to paid scope or fees require the process set out in the agreement; new website wording alone does not authorise a retrospective charge. Support, integrations and product responsibilities

The support channels, hours, response commitments, maintenance arrangements and any service credits are those agreed for the purchased product. No particular uptime percentage or round-the-clock support is promised by an illustrative website screen.

Third-party integrations, devices and payment providers have their own requirements and may require separate contracts. Confirm compatibility before purchase. A customer's receipt of money from its own customers is separate from its payment for Karrio software.

Industry users remain responsible for their professional decisions, licences, staffing and lawful operations. See Product Responsibilities, including healthcare and pharmacy workflows.

Suspension, cancellation and offboarding

Karrio may restrict access where reasonably necessary to address security threats, unlawful use or a material breach, including unpaid agreed charges. Where practicable, we notify the customer, explain the issue and allow a reasonable opportunity to resolve it. Urgent protective action may be needed first.

Either party may end the agreement as provided in the accepted order and applicable law. Cancellation of renewal, immediate termination and deletion of records are distinct actions. We coordinate authorised export and closure under the order and processing agreement, subject to security, lawful retention and legal restrictions. Use Data & Account Requests for the correct route.

Service commitments and responsibility

Karrio is responsible for the commitments it expressly accepts in the customer agreement. The customer must review suitability for its work and maintain the operational procedures required by its industry. Unless expressly agreed, the software does not replace professional judgement or guarantee a particular business outcome.

Any negotiated liability limit or additional warranty must be recorded in the customer agreement. These website terms do not introduce a booking-fee liability cap. Nothing excludes a responsibility or remedy that cannot lawfully be excluded. Each party remains responsible for its own acts and obligations under the agreement and applicable law.

Law, concerns and updates

Indian law governs these terms, subject to any mandatory law that applies. Contact Karrio first so we can seek to resolve a concern. Unresolved matters may be brought before a court with competent jurisdiction; arbitration applies only under a valid, separately agreed arrangement. Nothing here removes a statutory complaint or remedy.

We publish dated versions and give notice of material contractual changes as required by the applicable agreement and law. Revised terms apply when validly accepted or otherwise made effective under that agreement.
